Tesco PCL Board: The individuals who are selected to be on the board of directors of a corporation have overall responsibility for the activities of the corporation. A corporate board is not responsible for the day-to-day decision-making; the daily decisions are made by the corporation's executives and managers. The corporate officers are the people who head departments, and these executives are responsible for running the business. The board acts on behalf of the shareholders to make overall policy decisions and provide oversight. The board has a fiduciary duty with respect to the shareholders; that is, the board has financial and other responsibilities to keep the corporation running efficiently so the shareholders don't lose money.…show more content…
The remuneration committee should have delegated responsibility for setting remuneration for all executive directors and the chairman, including pension rights and any compensation payments. The committee should also recommend and monitor the level and structure of remuneration for senior management. The nomination committee is receiving more attention due to shareholders and regulators questioning the integrity of board appointments from a quality and diversity perspective. Here is the diagram that most Metro and Express store follow: As you can see, all areas have what is called a ‘Regional Manager’, these people keep track of all stores within a certain catchment area. Then there are managers that handle different areas of the store such as specific goods, personnel, then there are officials that control certain aspects of these areas for example the clothing and electrical section managers. Some of these managers have have assistants such as the personnel manager having a personnel assistant, if they have to go away on business or are abcent, the personnel assistant may step-in and do the job of the personnel manager until their return. Evidence of this can be found in the Tesco company report published in July of 2016, where there is reported to be a section all about the organisational structure of the company explained by the Non-Executive Chairman John Allen. This however is a report that you have to pay to access.
