I.   INTRODUCTION

    The issue introduced in this paper is possibility of problems arising in contingent payment agreements for fundraisers.   Many non-profits are ill equipped and therefore, innocently seek the help of fundraisers/grant writers.   One of the biggest issues related to that, is the perception of private inurement.   Private inurement is where the appearance of a portion of the net proceeds from the funds received is used for an individual will personal or private gain from the interest of the organization.   To avoid that perception, non-profit organizations need to strategically plan the contingent payment agreement so that it is not viewed to the Internal Revenue Service (IRS) as private inurement.   This perception can ruin the tax-emption status and be in jeopardy of losing it all together.   The objective of this paper is to explain, on a small scale, how organizations can correctly form a contingent payment agreement.
